These Terms of Service ("Terms") govern your access to and use of the OK Social website, platform and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms should be read together with our Privacy Policy.
1. Definitions
- "You", "your", "Account Holder" means the person or business that registers for an account.
- "Client" or "Reviewer" means a person you invite to review content via a magic link.
- "Content" means any images, video, text, captions, files or other materials uploaded to or created within the Service.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business, you confirm you are authorised to bind that business to these Terms.
You are responsible for your account, for keeping your login credentials secure, and for all activity that occurs under your account. You must verify your email address to activate your account. Notify us promptly of any unauthorised use.
3. The Service
OK Social is a content-approval platform that lets you upload social media content, invite clients to review and approve or request changes to it via a magic link, and manage that workflow. We may add, change or remove features from time to time.
4. Subscriptions, fees and billing
- Plans. We offer a free plan and paid plans (Pro and Agency), with limits and features as described on our pricing page. We may change plan features or limits with reasonable notice.
- Prices and GST. Prices are displayed in Australian dollars and are inclusive of GST where applicable. Where Adaptive Pricing applies, your local currency may be shown and charged based on our AUD pricing.
- Payment. Paid subscriptions are billed in advance through our payment provider, Stripe. By subscribing, you authorise us (via Stripe) to charge your payment method on a recurring basis until you cancel.
- Renewal and cancellation. Subscriptions renew automatically each billing period (monthly or annually) unless cancelled before the renewal date. You can cancel at any time via the billing portal; your plan remains active until the end of the current paid period.
- Price changes. We may change subscription prices; we will give you reasonable notice and any change applies from your next billing period.
- Refunds. Except where required by law (including the Australian Consumer Law), fees are non-refundable, and we do not provide refunds or credits for partial periods or unused features.
- Taxes. You are responsible for any taxes associated with your use of the Service other than taxes based on our income.
5. Free plan
We may offer a free plan subject to usage limits. We may modify or discontinue the free plan at any time. We may suspend or delete free accounts that are inactive for an extended period.
6. Your content
You retain all ownership rights in your Content. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, display and reproduce your Content solely to operate and provide the Service to you (for example, to display content to your Clients for review and to deliver approved content back to you).
You are responsible for your Content and confirm that you have all necessary rights to it, and that it does not infringe any third party's rights or any law. We do not publish content to social media platforms on your behalf; you are responsible for posting approved content.
7. Acceptable use
You agree not to:
- use the Service in breach of any law or to infringe anyone's rights;
- upload unlawful, defamatory, infringing, harmful, or sensitive content you are not authorised to share;
- attempt to gain unauthorised access to the Service, other accounts, or our systems;
- interfere with or disrupt the Service, or circumvent usage limits or security measures;
- resell, sublicense or commercially exploit the Service except as expressly permitted; or
- use the Service to send spam or unsolicited communications.
We may investigate and take appropriate action, including removing content and suspending or terminating accounts, for breaches of these Terms.
8. Clients and magic links
Magic links give Clients access to specific content for review without an account. You are responsible for who you share magic links with and for the content you make available through them. We provide the review experience but are not responsible for the relationship between you and your Clients.
9. Our intellectual property
The Service, including its software, design, branding and content (excluding your Content), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. You must not copy, modify, reverse engineer or create derivative works from the Service except as permitted by law.
10. Third-party services
The Service relies on third-party providers (including Stripe, Resend, Vercel, Supabase, Cloudflare, Mux and Microsoft). Your use of features involving those providers may be subject to their terms. We are not responsible for third-party services we do not control.
11. Availability and changes
We aim to keep the Service available but do not guarantee it will be uninterrupted or error-free. We may perform maintenance, and may modify, suspend or discontinue all or part of the Service. Some features may be offered on a beta or trial basis and provided "as is".
12. Australian Consumer Law
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that you have under the ACL or other law that cannot lawfully be excluded.
For major failures you are entitled to the remedies provided by the ACL. For failures that do not amount to a major failure, where permitted by law, our liability is limited (at our option) to re-supplying the relevant service or paying the cost of having it re-supplied.
13. Disclaimers
To the maximum extent permitted by law and subject to Section 12, the Service is provided "as is" and "as available", and we exclude all warranties, representations and guarantees not expressly set out in these Terms.
14. Limitation of liability
To the maximum extent permitted by law and subject to Section 12:
- we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, data, goodwill or business; and
- our total aggregate liability arising out of or in connection with the Service or these Terms is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the liability.
15. Indemnity
You agree to indemnify us against claims, losses and costs (including reasonable legal costs) arising from your Content, your use of the Service, or your breach of these Terms or any law, except to the extent caused by our own breach or negligence.
16. Suspension and termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or where reasonably necessary to protect the Service or others. On termination, your right to use the Service ends. We may delete your data after a reasonable period, subject to our Privacy Policy and any legal retention obligations.
17. Privacy
We handle personal information in accordance with our Privacy Policy, which forms part of these Terms.
18. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by posting a notice or emailing you). Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
19. Governing law
These Terms are governed by the laws of Queensland and the Commonwealth of Australia. You and we submit to the non-exclusive jurisdiction of the courts of Queensland.
20. General
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a sale or reorganisation of our business.
- Severability. If any provision is found unenforceable, the rest of the Terms continue in effect.
- Waiver. A failure to enforce a provision is not a waiver of it.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
